Our voting policy is driven by long-term research and corporate engagement

Climate Change
Our Climate resolution filings span the entire fossil fuel sector including big oil, utilities, pipeline, petrochemicals, banks, and insurance companies. We filed 43 resolutions asking companies for climate targets and emissions reductions. Our “Road to Net Zero Emissions” report provides for greater depth and research that drives our voting policy. We also have cross-over issues including executive compensation linked to emission reductions that are informed by our research report, “Pay for Climate Performance.”
WE VOTE EVERY BALLOT ITEM: DIRECTOR NOMINATIONS, AUDITOR, CEO PAY, AND SHAREHOLDER RESOLUTIONS
Your proxy ballot contains many critical items to vote including selecting the Board of Directors, CEO Pay, auditors, as well as shareholder resolutions. As You Vote is a comprehensive set of guidelines that not only votes for every item, we do it in an interlocked and synergistic way.
Ocean Plastics
Our “Plastics Pollution Scorecard” informs our work on consumer packaging and also cross-pollinates with the petrochemical resolutions which look at the fossil fuel feedstocks that are used to produce single-use plastics that are choking our ocean ecosystem.
Safe Food
Our “Pesticides in the Pantry” report drives our thinking on both pesticides and regenerative agriculture. The report is updated every two years and looks at 35 key performance indicators for companies that have the opportunity to make our food system safe.
CEO Pay
Last year we voted against 347 of the S&P500 CEO Pay packages and against the Board compensation committees of these companies. We will also vote against all pay packages called out in our 9th annual “100 Most Overpaid CEOs of the S&P 500”report. We support one-year CEO Pay reviews.
Racial Justice
Racial justice audits and other resolutions refer to our “Racial Justice Scorecard” ranking 1,000 top companies on 27 key performance indicators (KPI). The majority of engagements on this issue result in a withdrawal as companies understand that implementing a robust racial justice policy creates a culture that attracts and retains the best and brightest employees which demonstrates a culture that the majority of customers desire.
Diversity and Gender Equality
Our recent “Workplace Diversity and Financial Performance” report aggregated 277 corporate EEO-1 (Equal Employment Opportunity) reports and showed the correlation of a diverse workforce to 14 key measures of financial outperformance. Our “Workplace Equity Scorecard” which ranks 1,000 top companies on 34 KPIs every quarter informs our 25 resolutions that ask for granular disclosure; our voting policy reflects this need for transparency by all investors.
Political Spending
Greater corporate transparency is critically needed, in particular on dark-money, and funding of trade associations. We have resolutions this year asking banks and credit card companies about their hypocrisy as they publicly make a statement then fund policy to do the opposite.
Board Composition
We vote against the nominating committee if a board of directors has fewer than 50% women

How does it impact shareholder value?

Companies that disregard environmental, social, and governance concerns may be more susceptible to regulatory fines, consumer boycotts, added regulation, litigation, loss of key employees, and reputational risk. They may find it difficult to acquire financing at competitive rates and attract and retain the best and brightest workforce. As they fall further behind, it may become increasingly difficult and expensive to catch up, hampering their ability to thrive economically especially as the extractive economy winds down and a new regenerative economy based on justice and sustainability emerges.

Our reports differentiate between leaders and laggard companies in order to quantify systemic risk. This provides a higher level of fiduciary duty; looking at how the action of some corporations may negatively impact others. Climate change is a clear example of this as actions by oil and gas companies are linked to extreme weather events, wreaking havoc on supply chains, and damaging crops and infrastructure. Companies depending on these supply chains are forced to take on new costs, translating into additional risk for investors

For many people, risks to investments isn’t the most important issue, but rather the risk to the environment and society. Faced with an existential climate crisis and growing injustice many investors are using their power as shareholders to compel corporate action to limit global warming and address key social justice issues.
